By accessing or using the TransCXP platform, APIs, or any related services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you are accessing or using TransCXP on behalf of an enterprise or organization, you represent and warrant that you are authorized to accept these Terms and bind that entity to them. If you do not agree to these Terms, you must not access or use the TransCXP services.

2. Description of Service

TransCXP provides a B2B omnichannel communication and customer management platform that enables organizations to integrate, manage, route, and respond to customer communications through supported channels and third-party services. The platform may include features such as ticketing, smart routing, conversation management, APIs, automation, and related customer service tools. TransCXP may update, modify, suspend, replace, or deprecate features or functionality from time to time for operational, technical, security, business, or other legitimate reasons.

3. User Obligations and Acceptable Use

You agree to use TransCXP in compliance with all applicable laws and regulations, these Terms and Conditions, and any applicable policies of third-party platforms or services integrated with TransCXP. You are responsible for ensuring that you have all necessary rights, permissions, consents, and lawful bases required to collect, upload, process, store, and use data through the platform. You must not:

  • Use TransCXP to send unlawful, fraudulent, deceptive, abusive, unsolicited spam, malicious, or otherwise prohibited communications or content.
  • Use the platform to distribute malware, malicious code, or other material intended to damage, interfere with, or gain unauthorized access to systems, networks, or data.
  • Attempt to reverse-engineer, decompile, disassemble, copy, modify, or derive the source code, architecture, algorithms, security mechanisms, or underlying technology of the platform, except where expressly permitted by applicable law.
  • Attempt to gain unauthorized access to TransCXP, its APIs, accounts, systems, infrastructure, or other users' data, or attempt to circumvent security controls or access restrictions.
  • Share account or agent credentials with unauthorized individuals or permit others to access an account in violation of applicable licensing or subscription restrictions.
  • Circumvent, disable, or attempt to bypass subscription, licensing, usage, rate, access, or other technical restrictions imposed by TransCXP.

You are responsible for maintaining the confidentiality of your account credentials and for activities conducted through your account. TransCXP reserves the right to suspend or restrict access where it reasonably determines that these Terms, applicable laws, security requirements, or third-party platform policies have been violated.

4. Third-Party Platform Rules

TransCXP facilitates integrations with third-party platforms and services, including WhatsApp Business Platform, Facebook, Instagram, Google Business Profile, and other supported services. Your use of these integrations is subject to the applicable terms of service, acceptable use policies, technical requirements, and other rules established by the respective third-party providers. You are responsible for ensuring that your use of third-party integrations complies with those requirements.

Third-party providers may modify, restrict, suspend, discontinue, or revoke access to their platforms, APIs, accounts, or features at any time. Such actions, as well as outages, API changes, rate limitations, or other circumstances outside TransCXP's reasonable control, may affect the availability or functionality of related TransCXP features. TransCXP is not responsible for actions, restrictions, interruptions, or changes imposed by third-party providers, subject to applicable law and the limitations set out in these Terms and Conditions.

5. Data Ownership and Intellectual Property

  • Your Data: As between you and TransCXP, you retain the rights, title, and interest you have in the data and content you submit to or process through the platform, subject to applicable third-party rights and applicable law.
  • License to Provide the Service: You grant TransCXP a limited, non-exclusive license to host, store, process, transmit, and otherwise use your data as reasonably necessary to provide, maintain, secure, and support the TransCXP services, or as required by applicable law.

Except as expressly permitted under these Terms, no rights to such intellectual property are granted to you.
  • Third-Party Content: Content, data, trademarks, and other materials originating from third-party platforms or other sources remain subject to the rights, licenses, and terms applicable to those third parties. TransCXP does not claim ownership of such third-party materials solely because they are accessed, transmitted, or processed through the platform.

6. Limitation of Liability

To the maximum extent permitted by applicable law, TransCXP shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunities, goodwill, or business interruption arising out of or relating to your use of, or inability to use, the platform.

TransCXP shall not be responsible for losses, delays, failed communications, service interruptions, or other impacts resulting from circumstances outside TransCXP's reasonable control, including failures, outages, restrictions, policy changes, account suspensions, API limitations, or other actions taken by third-party platforms or service providers.

TransCXP shall not be responsible for consequences arising from the actions, omissions, configurations, content, or instructions of you, your employees, agents, or other authorized users, including incorrectly addressed or incorrectly composed communications, unlawful or prohibited content, unauthorized use of accounts, or violations of applicable laws or third-party platform policies.

Except as otherwise required by applicable law or expressly provided in a separate written agreement between TransCXP and the customer, the limitations and exclusions set forth in these Terms and Conditions shall apply to the maximum extent permitted by applicable law.
